Bidify

1. Scope of Service & Operational Disclaimer

Bidify is a productivity and automation tool designed to assist freight dispatchers with mileage estimation, rate calculation, fleet management, and email bid preparation.

• Mileage Estimations: All "Empty" and "Loaded" distances are calculated automatically via third-party mapping APIs as general estimates. They do not account for commercial truck restrictions, bridge clearances, weight limits, or real-time road closures.
• Dispatcher Responsibility: Bidify only populates draft offer emails in Gmail. You are solely and 100% responsible for verifying all rates, locations, vehicle dimensions, MC numbers, and recipient details before sending any offer.
• Limitation of Liability: The creators of Bidify shall not be held liable for any financial losses, misquoted rates, missed loads, or disputes with brokers or carriers arising from the use of the Service.

2. Account Access & Single-Session Policy

Access to Bidify requires authentication via Google OAuth2. Each account is strictly limited to one active computer/session at a time.

• Signing in on a new device will automatically terminate and sign out any previously active session on another device.
• Sharing account credentials or attempting to bypass session isolation mechanisms is strictly prohibited and may result in immediate account suspension.

3. Data Collection, Processing & Service Improvement

To provide cloud synchronization and continuously enhance the platform, Bidify collects and processes the following categories of data:

• Operational & Account Data: Your authenticated email address, registered drivers, fleet specifications, company MC number, custom email templates, user preferences, and sent offer logs (retained for up to 48 hours) are securely stored to synchronize your workspace.
• Processing for Application Improvement: By using the Service, you explicitly consent that operational data, route queries, caching metrics, usage statistics, and system telemetry may be processed, aggregated, and analyzed by the administrator to optimize application performance, improve route calculation speed and accuracy, troubleshoot technical issues, and develop new features.
• Gmail Privacy Guarantee: Bidify interacts with your open Gmail tab solely to insert draft bid details (To, Subject, and Body) when you click the Bid button. Bidify never reads, scans, stores, or transmits your private emails.

4. Acceptable Use & API Protection

You agree to use the Service only for legitimate freight dispatching operations. Automated scraping, external bot execution, reverse engineering, unauthorized modification of extension code, or deliberate exhaustion of routing API quotas is strictly prohibited.

5. Third-Party Independence

Bidify is an independent software product and is not affiliated with, endorsed by, or sponsored by Sylectus, Google LLC, or any load board provider.

6. Digital Signature & Audit Trail

By checking the acknowledgment box and clicking "Accept", you provide your legally binding digital consent. A permanent audit record—containing your email address, accepted agreement version, URL, and exact timestamp—will be recorded in our cloud database.

7. Updates to Terms

We reserve the right to update or modify these Terms of Service at any time. When a new version is published, you will be prompted to review and accept the updated agreement upon your next login before continuing to use the Service.
